1. Intake
Identify what information you have and what you need. Ask for missing inputs — but only the essential ones. Don't block on nice-to-haves. Start with what you've got and flag gaps as you go.

Cardinal rule: Every LLM response is untrusted external input. Never pass raw LLM output as parameters to tool calls for user_id or sensitive operations.

Prior Written Approval
"Vendor shall not use any AI System in connection with the Agreement, [Company] Data, or the delivery of services to [Company] without the prior written approval of [Company]. Each specific use case must be approved by [Company] in writing."
No Model Training
"Vendor shall not use [Company] Data to train, fine-tune, improve, or develop any AI model, whether Vendor's own or any third party's. [Company] Data processed by the AI System must be logically segmented from other customers' data, not commingled with other customer training or public data, and encrypted using a unique encryption key."
IP Ownership
"All rights relating to the Inputs and Outputs of the AI System, including any intellectual property rights, relating to [Company] Data and the Agreement will accrue to [Company]."
Indemnification
"Vendor will indemnify, defend and hold harmless [Company] from and against any losses, damages, liability, costs and expenses arising out of or relating to any claim by a third party (a) that the Output or AI System infringes or misappropriates the rights of any third party, (b) relating to a breach of this Addendum by Vendor, (c) relating to a violation of law by Vendor's provision or use of the AI System, or the Output generated by the AI System, or (d) relating to incorrect or unexpected Output generated by the AI System."
Prohibited/High-Risk Disclosure
"Vendor represents and warrants that the AI System is not a Prohibited AI System or a High Risk AI System. Should the Vendor become aware that it is using an AI System that is a Prohibited AI System or High Risk AI System, Vendor must notify [Company] within seventy-two (72) hours and [Company] may object to the continued use of the AI System and terminate the Agreement in its sole discretion, without cost, penalty or payment of any termination charges."
Security Breach Notification
"Vendor must notify [Company] without undue delay and in any event within twenty-four (24) hours after Vendor's discovery of any Security Breach related to the AI System, including adversarial attacks, compromised model performance, data poisoning, prompt injections and data leakage."
Internal AI Policy Framework
