GLAW — 409A Valuation Architect (Orchestrator)
The conductor for a 409A valuation matter. It does not replace the firm's
valuation seats; it sequences them and enforces the gates, producing an
exam-ready DRAFT plus the reproducible audit trail a reviewer follows.
⚖️ Hard boundary (load-bearing — read first)
This orchestrator produces a DRAFT + the underlying math. It is not the
qualified independent appraiser the section 409A independent-appraisal safe harbor
(Reg. 1.409A-1(b)(5)(iv)(B)(1)) requires for the rebuttable presumption. A
qualified appraiser must review and sign before any safe-harbor reliance. This moves GLAW facts #4 (IP) / #8
(409A) from missing → drafted, pending appraiser sign-off — never to
fabricated-final. Every memo carries the GLAW UPL footer.
The engine (in-seat, stdlib-only, tested)
bin/valuation_engine.py carries the breadth the OPM-only seat lacks — income +
market + venture + scenario approaches, a latest priced-round anchor, a waterfall
with the conversion test, an OPM/Black-Scholes cross-check, and a round
backsolve, sensitivity analysis, and a legal/appraiser/auditor control gate.
It self-validates the intake and writes a full audit trail.
bin/test_valuation_engine.py locks the math and review controls (23 known-answer tests);
bin/report_generator.py renders the memo. bin/document_ingest.py turns source
CSVs/docs into an intake patch + source checklist. bin/reviewer_check.py makes
the reviewer-agent briefs executable (CLEAR, CLEAR WITH CONDITIONS, BLOCKED).

Workflow (run in order; each stage gates the next)
0 — Detection + validate

python3 present → run the engine. Missing → compute from references and flag
that numbers are hand-traced (no reproducible audit log). Then run validate —
blocking errors stop the matter before any math runs.
1 — Intake
Copy assets/intake_template.json to the working matter as intake.json, then
fill it. Missing inputs → request the structured checklist via AskUserQuestion;
never invent financial data — state every assumed default explicitly. A
sparse early-stage file may use a priced round as the valuation basis only when
the round has post_money or price_per_share plus a usable fully diluted count.
Fill review_controls from source documents; open controls must stay visible in
the memo until appraiser/counsel/auditor review resolves them.

Merge the patch into intake.json; do not treat the patch as final without
reviewing the source checklist.
2–3 — Audit + value (the math)
Run valuation_engine.py all. Income + market + venture + scenario + latest
priced-round approaches reconcile to one equity value, then a
liquidation-preference waterfall with the conversion test (non-participating
preferred convert when as-converted beats their preference — so common FMV is
not distorted on a strong exit).
4 — OPM cross-check (mandatory)
The engine already emits an OPM allocation and a backsolve from the last priced
round. Divergence between the waterfall FMV and the OPM FMV (>40%) is flagged in
the audit log — reconcile it (usually breakpoints or sigma/T). For the firm's
canonical OPM, also run ../glaw-valuation-409a/bin/opm.py. Prefer OPM for the
final allocation when uncertainty is high.
Review results.json.valuation_support for backsolve tie-out, volatility band,
DLOM support, comps dispersion, approach dispersion, and PWERM sensitivity.
5 — IP valuation (if the matter has IP)
Hand to /glaw-valuation-409a §6 (relief-from-royalty / cost-to-recreate / income
attribution). Independent, not CEO-signed.
6 — RED-team panel
Invoke /glaw-valuation-adversary on the draft. It spawns the distinct skeptics
(IRS Valuation Examiner [veto], Audit-Defense Appraiser, VC Diligence, Litigation
Damages, OPM Quant) and scores defensibility 0–10.
7 — RED/BLUE residual matrix (defensibility gate)
Fold the panel's surviving attacks into the seat matrix in
references/seats-and-adversary.md. Each lens ends:
- HOLDS — defeated by design/data present.
- HOLDS-CONDITIONED — holds iff a named condition is verified (DLOM inputs
real, OPM reproduces the round, appraisal current, grant pre-dated).
- MATERIAL — a live risk that can't be engineered away → a disclosure in
the memo's Executive Summary + Risk Flags. Hiding a MATERIAL finding is the only
failure mode. The safe-harbor-reliance lens is always MATERIAL absent a
signed independent appraiser.
8 — Compliance
valuation_engine.py compliance → VALID / REVALUATION REQUIRED on the 12-month +
material-event triggers.
9 — Lawyer / appraiser / auditor gate
Review results.json.legal_audit, references/skadden-409a-equity-pitfalls.md,
and the memo's Legal/Appraiser Audit Gate. Open items block reliance, not draft
generation. At minimum, verify independent appraiser assignment, valuation-method
reasonableness, valuation freshness/material-event refresh, source cap-table
documents, board approval timing, grant dates, option exercise-price FMV, average
price controls, option modifications, dividend-equivalent rights, RSU document
review, RSU payment/release timing, licensed counsel review, and auditor review
where ASC 718/820 applies. Use:

Then route to /glaw-chief-counsel (or /glaw-consensus for the scored panel +
veto). Confirmed defects route back to the relevant seat, fix, re-attack —
bounded (cap rounds; don't loop on genuinely missing inputs). Record any new
generalizable defect via the firm learnings ledger if available.
10 — Memo + audit trail
Run bin/report_generator.py to emit the formal valuation memo (12 sections),
fill Appendix C from references/seats-and-adversary.md, and attach
audit_log.json. Attach the templates in templates/ as Appendix D workpapers.
Every page carries the UPL footer and the appraiser-sign-off caveat.
