What to ask the user first
For an MSA or SOW, ask in one batch:
- Client legal name, registered address, country
- Your entity (B.I. or SH.P.K., name, address, ARBK number)
- Engagement type (project, retainer, T&M)
- Governing law preference (default: English law, LCIA arbitration in London)
- Special asks from the client (IP assignment, indemnities, insurance)
For an NDA, ask:
- Counterparty name and country
- Mutual or one-way
- Term (default: 2 years from disclosure)
- Purpose of disclosure (one sentence)
For an IC Agreement, ask:
- Contractor's name and country
- Scope and rate
- Whether they're delivering work to one of your clients (sub-contracting setup)
- Whether IP needs to flow through to your end client
Kosovo legal anchors to bake into every contract
These are not legal advice. They are the defaults that hold up under Kosovo law for the common case. Always recommend a kontabilist or lawyer review for high-stakes contracts.
Independent Contractor vs Employee classification (Law 03/L-212)
Kosovo's labor law classifies a relationship as employment if there's:
- Fixed working hours set by the engager
- Subordination (the worker takes direction on how to work)
- Economic dependence (single source of income, fixed monthly pay)
- Provision of tools and workspace by the engager
If three or more of these are true, Kosovo courts will likely re-classify as employment regardless of the contract title. The IC agreement template should explicitly negate each:
"Contractor shall set their own working hours, choose their own methods, and is free to provide services to other clients. Contractor uses their own equipment. Compensation is per deliverable / per project, not a fixed monthly salary."
Misclassification exposure: back pension contributions, back income tax withholding, severance liability, fines.
IP assignment
Under the Kosovo Civil Code, IP created by a contractor belongs to the contractor by default unless explicitly assigned. The MSA and IC agreement templates should include:
"All work product created under this Agreement, including source code, designs, documentation, and derivative works, is assigned in full to [Client / Engager] upon payment. Contractor retains no rights other than those expressly granted. Contractor waives all moral rights to the extent permitted by Kosovo law."
The "to the extent permitted" matters, moral rights are not fully waivable in some civil-law jurisdictions, including Kosovo. Be honest about that.
Confidentiality
Standard mutual NDA clause with carveouts for:
- Information already in the public domain
- Information independently developed
- Information required to be disclosed by law (with notice to the other party)
Term: 2 years from disclosure is the EU default. US clients often push for 5+ years; that's negotiable.
Governing law and disputes
For international clients, propose:
- Governing law: English law (neutral, well-understood)
- Disputes: LCIA arbitration, single arbitrator, seat in London, English language
- Alternative: ICC arbitration, Paris seat, common for French/German clients
Avoid Kosovo courts in the contract for international engagements. Not because Kosovo courts are bad, but because foreign clients won't sign it.
Payment terms
Default for international clients:
- Net 30 from invoice date
- 1% per month late fee after due date
- Wise or SEPA preferred for EUR; SWIFT acceptable
- Currency conversion losses borne by paying party
Termination
- Either party may terminate for convenience with 30 days' written notice
- Either party may terminate for material breach with 14 days' written notice and a cure opportunity
- Termination doesn't release outstanding payment obligations or surviving clauses (confidentiality, IP, governing law)
Limitation of liability
Cap total liability at fees paid in the prior 12 months. Exclude indirect, consequential, and lost profits. Carve out gross negligence, willful misconduct, IP infringement, and confidentiality breaches.

Tips
- Don't over-engineer. A 4-page MSA signs faster than a 12-page one. Save the long form for enterprise clients.
- Match the client's expectations. German clients sign in English. French clients sometimes want French. US clients want everything indemnified.
- IC classification is the highest-risk item. Don't generate IC agreements without flagging the four-factor test.
