Board Meeting Prep

Overview

Board meetings are the highest-leverage 2-3 hours of your quarter. The mistake: treating them as an update presentation instead of a strategic working session where you extract maximum value from the smartest people who care about your company. This skill covers deck construction, metric selection, narrative crafting, pre-meeting alignment, running the meeting, and handling the hard conversations.

Before the Meeting

Pre-Meeting Alignment (1-2 weeks before)

1:1 with each board member before the meeting:

• Send draft metrics and 3 key topics
• Ask: "What are you most concerned about? What would make this a great meeting for you?"
• Surface disagreements BEFORE the meeting — never ambush a board member in front of others
• Identify who needs pre-alignment on specific decisions

Send materials 48-72 hours before:

• Board deck (PDF — no live Google Slides surprises)
• Financial package (P&L, cash flow, headcount)
• Agenda with time allocations
• Any decisions requiring a vote
• Ask: "Please read before the meeting. We'll spend 5 minutes on review, then dive into discussion."

The Metrics Dashboard (Slides 4-5)

Always include these 8 metrics:

1. ARR (actual vs plan, % growth YoY and QoQ)
2. Net New ARR (new + expansion - churn)
3. NRR (net revenue retention — above 100% is green)
4. Logo Churn (monthly % — trend line is more important than point)
5. CAC Payback (months — under 12 is good)
6. Magic Number (net new ARR / S&M spend — above 1.0 is efficient)
7. Gross Margin (70%+ is SaaS standard)
8. Cash + Runway (months at current burn, assuming zero new revenue)

Color coding:

• Green: On or above plan
• Yellow: 5-15% below plan, or declining trend
• Red: >15% below plan, or critical risk

Never hide red metrics. Board members spot them instantly and losing credibility on one number poisons trust on everything else. Lead with the bad news: "Churn ticked up to 2.8%. Here's what we found and what we're doing."

Narrative Architecture

The CEO Summary (Slide 3) sets the frame for the entire meeting:

Wins:
- Hit $5.2M ARR (+22% QoQ, ahead of $5.0M plan)
- Launched Enterprise tier — 3 logo wins, average $85K ACV
- Hired VP Engineering (ex-Stripe, starts July 1)

Concerns:
- Logo churn increased 1.8% → 2.8% (SMB segment). Root cause identified:
  competitor undercutting on price. Response in strategic topic #1.
- Pipeline coverage dropped 3.2x → 2.5x. AE hiring behind schedule.
  Response in strategic topic #2.

Decisions Needed:
- Approve $500K incremental S&M spend for Q3 pipeline acceleration
- Approve option pool increase from 12% to 15%
- Approve VP Engineering offer ($200K salary, 1.2%)

Ask of Board:
- Intros to 3 target accounts (list attached)
- Reference calls for Enterprise pipeline (2 deals in negotiation)

Strategic Discussion Design

Each strategic topic must have:

1. Context: What's the situation? (2-3 sentences)
2. Data: What do the numbers say? (1 slide with 3-5 key data points)
3. Options: What are the choices? (2-3 options, with pros/cons)
4. Recommendation: What do you recommend and why? (clear position)
5. Ask: What decision or input do you need from the board?

Example strategic topic — SMB churn response:

Context: SMB segment churn increased from 1.8% to 2.8% monthly in Q2.
Primary driver: Competitor X launched at 40% lower price point.

Data:
- 12 of 16 churned customers cited "price" as reason
- Win rates vs Competitor X: 70% → 45% in SMB segment
- SMB = 35% of revenue, 60% of churn
- Mid-market and Enterprise segments unaffected

Options:
A) Match competitor pricing in SMB (-30% SMB ACV, protects volume)
   Pro: Stops churn. Con: Margin compression, anchoring risk.
B) Exit SMB, focus on mid-market+ ($15K+ ACV)
   Pro: Higher margins, lower churn. Con: -35% revenue transition.
C) Differentiate on product, maintain pricing (new features for SMB)
   Pro: Maintains margins. Con: 6-month dev timeline, churn continues.

Recommendation: Option B — begin managed SMB exit over 2 quarters.
- SMB acquired customers have 6-month CAC payback vs 14-month for mid-market
- SMB churn makes LTV/CAC 2.1x (below 3x threshold)
- Mid-market LTV/CAC is 5.8x and growing

Ask: Approve SMB segment exit plan and reallocation of 2 SMB AEs to mid-market.

Running the Meeting

CEO behaviors that build board trust:

• Start and end on time — respect is shown in minutes
• Talk 50% of the time or less — the board's job is to advise, not spectate
• Say "I don't know" when you don't know — guessing destroys credibility
• Name the elephant: "The biggest risk we face right now is X"
• Ask for specific help: "Can you intro us to [company/person]?"
• Take notes on their advice — even if you disagree, show you heard them

Managing difficult dynamics:

• Dominating board member: "Great points, let's make sure we hear from everyone on this." Then call on quieter members by name.
• Side conversations: Pause. Wait. Let silence do the work.
• Rabbithole discussions: "This is important — let's take it offline after the meeting. For now, the decision is X."
• Disagreement on strategy: "I'm hearing two perspectives. Let me summarize both, then we'll decide." Capture both accurately, then make the call.

After the Meeting

Within 24 hours:

1. Send meeting minutes — decisions made, action items with owners and deadlines
2. Send updated financial package if numbers changed during discussion
3. Schedule next meeting (same time next quarter — consistency matters)

Within 1 week:

1. Follow up on every action item
2. Schedule follow-up 1:1s on any unresolved discussions
3. Send board any materials they requested during the meeting

Hard Conversations

When you missed targets

Lead with it. Don't bury it on slide 14.

1. State what happened (numbers, not excuses)
2. Explain what you've learned (root cause, not symptoms)
3. Present the revised plan (specific changes, not "we'll try harder")
4. Ask for help on specific gaps

When you need to raise a down round

Board members are investors — they understand markets change:

1. Frame it as protecting the company, not admitting failure
2. Show the math: "We have X months of runway. Raise Y at Z terms, or..."
3. Present the plan for returning to growth trajectory
4. Ask for their participation and support, not just approval

When considering a CEO transition

This is THE hardest conversation. Brad Feld's framework:

1. Start early — "I want to discuss the CEO role as we scale"
2. Frame as company need, not personal failure: "The company needs X skills at this stage that aren't my strengths"
3. Propose a timeline: "I'd like to stay as CEO through Series B, then transition to [Chairman/CPO/Board member]"
4. Let the board process it — don't demand an immediate answer

Implementation Checklist

• Pre-read sent 48-72 hours before meeting
• 1:1s completed with each board member before meeting
• Deck is 15-20 slides, not 50+ (they can read, you don't need to present every slide)
• Metrics are color-coded and trended (single data point is useless)
• Every strategic topic has options + recommendation (not just "what do you think?")
• Bad news is on slide 3, not slide 18
• Specific asks of board members (intros, candidates, advice — not generic "help us grow")
• Time allocations on every agenda item (and you stick to them)
• Executive session scheduled (standard governance practice)
• Minutes and action items sent within 24 hours

Quality Check

Before delivering, verify:

• Output matches the user's stated request
• Named frameworks or sources are reflected in the recommendation
• The deliverable is specific enough for an agent to execute
• Any assumptions, risks, or dependencies are explicit
• No unsupported claims, invented facts, or private/internal references are included

Common Pitfalls

1. The 80-slide deck. You'll present maybe 10 slides. The rest are appendix. If you spend the meeting clicking through slides, you've failed. Fix: 15-20 slides max. Put everything else in appendix with a "we can reference if needed."

2. Metrics without narrative. "Churn is 2.8%" means nothing without "this is up from 1.8% because X — here's our plan." Fix: Every metric slide gets one sentence of "so what?"

3. No decision asks. "We'd love your thoughts on..." is a waste of board time. They can give thoughts over email. Meetings are for DECISIONS. Fix: Every strategic topic ends with a specific decision or vote.

4. Surprising board members in the meeting. If you're proposing a major pivot, funding strategy change, or team restructure, board members should know BEFORE the meeting. Fix: Pre-align on anything controversial.

5. No executive session. This is standard governance — the board meets without the CEO to discuss CEO performance, compensation, and succession. It's not a vote of no confidence. If your board isn't doing it, suggest it. Fix: Always include 10-15 min executive session at end.
