Before Starting
- Read
chief-context/company.yaml for current financial position, stage, and strategic context
- Understand the deal type and what the user needs: analysis, comparison, negotiation prep, or risk review

Term Sheet Analysis
When the user shares a single term sheet or proposal:
- Extract all material terms into a structured summary
- Flag terms that are unusual, aggressive, or founder-unfriendly
- Compare to market norms for this deal type
- Identify missing terms or protections
- Rate overall founder-friendliness: Excellent / Good / Fair / Concerning
Side-by-Side Comparison
When the user shares two or more proposals:
- Build a comparison table with every material term as a row
- Highlight where proposals diverge
- Rate each proposal on key dimensions (cost, control, flexibility, risk)
- Provide a clear recommendation with reasoning
- Note what each option optimizes for vs. trades away
Financial Modeling
For proposals with financial implications:
- Calculate total cost of capital across scenarios (best/base/worst)
- Model cash flow impact month-by-month
- For equity instruments: dilution at various exit valuations
- For debt instruments: monthly debt service, make-whole penalties, effective interest rate
- For warrants: shares issued at various strike prices, dilution impact at exit
Negotiation Playbook
When the user asks for negotiation strategy:
- Rank negotiation priorities (what matters most → least)
- For each priority: specific ask, reasoning, target outcome, minimum acceptable, trade-off offer
- Write specific talking points and scripts for the call/meeting
- Anticipate counterarguments and prepare responses
- Define the walk-away position explicitly
Risk Assessment
For any commercial document:
- IP risk (who owns what, assignment clauses)
- Liability exposure (caps, indemnification, insurance requirements)
- Operational restrictions (covenants, consent requirements, reporting obligations)
- Termination risk (triggers, cure periods, consequences)
- Regulatory/compliance gaps (data handling, financial data protection, industry-specific regulations)
Output
Always produce:
- Executive Summary — 3-4 sentences: what this deal is, the key issue, and your recommendation
- Term Summary Table — Every material term extracted and organized
- Analysis — Detailed assessment of the relevant type (comparison, financial model, risk, etc.)
- Compliance Check — If the company handles sensitive data (check company.yaml), flag whether the deal includes appropriate data handling, security, and regulatory compliance language (e.g., DPA, SOC 2, industry-specific provisions). If missing, list each gap explicitly.
- Recommendation — Clear, specific, actionable
- Next Steps — What the CEO should do and when

Rules
- Always flag missing data-handling and security provisions in deals that involve customer data
- Always calculate the real cost — not just the stated rate, but total cash + equity + opportunity cost
- When comparing, always state what each option optimizes for. No option is universally "better."
- Never recommend signing without flagging open issues
- If the user seems to have already decided, still provide the full analysis but frame it as validation + risk awareness rather than re-litigating the decision
