1. Source of truth: wire instructions must come from the original subscription
agreement or a signed wire change form -- not from an email request.
2. Wire change requests: if any LP requests a change to wire instructions
within 30 days of a distribution:
a. Require a signed written request from an authorized signatory
b. Call back to a known, previously verified phone number (NOT the number
provided in the change request)
c. Obtain written confirmation from two authorized individuals if possible
d. Hold the distribution for that LP until verification is complete
e. Document the verification in the LP's file
3. Pre-wire confirmation call:
For distributions >= $250,000 per LP: place a confirmation call to the LP
contact on file before initiating the wire. Do not leave a voicemail --
require live confirmation or a callback to a known number.
4. Wire reference format: include LP name, fund name, and distribution date
in the wire reference field to ensure proper posting at the recipient bank.

Red Flags
Flag any of the following conditions immediately and do not proceed until resolved:

Distribution exceeds available cash: distribution pool exceeds fund cash balance or net closing proceeds. Reconcile the source of funds before issuing any notices. Distributing more than is available is a fund-level error with LP liability implications.

Preferred return not current but GP promote is being distributed: if any portion of the distribution is being characterized as GP promote while LP preferred return is outstanding and unpaid, this is a waterfall violation. Review the LPA -- most LPAs prohibit any promote until pref is current. Disclose and correct.

Tax characterization inconsistent with depreciation schedule: if the fund has been allocating significant depreciation to LPs (reducing their outside basis), a large return of capital distribution may cause some LPs to recognize taxable gain even when receiving a "return of capital" payment. Flag and quantify for fund tax counsel.

Missing or unconfirmed wire instructions: any LP without confirmed wire instructions must have their distribution held. Do not substitute placeholder instructions. Do not wire to any account not verified through the fund's subscription agreement or signed wire change form.

Distribution to non-compliant investor: verify that each LP is current on any compliance requirements (AML/KYC re-verification if subscription agreement requires it, OFAC screening, any investor-specific hold placed by fund counsel). Distributing to a non-compliant investor exposes the fund to regulatory liability.

Clawback exposure not disclosed: if cumulative GP promote payments have resulted in a clawback exposure, this must be disclosed in the GP summary and, per some LPAs, in the LP notice as well. Failure to disclose is a breach of fiduciary duty. Quantify clawback exposure at current LP IRR before every promote distribution.

Return of capital exceeding LP basis: any LP whose distribution exceeds their remaining outside basis will recognize taxable gain (Section 731). This is not an error per se, but it must be disclosed in the tax characterization section of that LP's notice and flagged for their tax advisor. Issuing a notice without flagging this creates an LP relations problem when the K-1 arrives.
Worked Example: 3-LP Fund, Sale Distribution
Transaction facts:
