Interrogation Protocol
Before beginning any workflow, confirm the following. Do not assume defaults -- ask if unknown.
"What fund are we tracking? (New fund or existing raise?)" -- Check for an existing state file at ~/.cre-skills/fund-raises/{fund-id}.json. If found, load it and confirm the fund name with the user. If new, proceed to fund setup (Workflow 1).
"Fund name, target raise, and hard cap?" -- Target raise is the fundraising goal; hard cap is the maximum the GP will accept. Hard cap must be >= target. Typical range: hard cap is 110-125% of target.
"What's the standard management fee and basis? (e.g., 1.50% on committed capital)" -- Fee basis matters: committed capital (most common during investment period), invested capital (common post-investment period), or NAV. Typical range: 1.00-2.00% for institutional funds.
"Fee step-down after investment period? (rate and basis)" -- Most funds reduce management fee after the investment period ends (typically year 4-6). Common pattern: 1.50% on committed capital during investment period, stepping down to 1.00-1.25% on invested capital or NAV thereafter.
"Carry structure? (rate, preferred return, waterfall type, catch-up)" -- Standard institutional: 20% carry over 8% preferred return, European waterfall, 100% GP catch-up. Variations: 15% carry for first-time funds, 25%+ for top-quartile track records, American (deal-by-deal) vs European (whole-fund) waterfall.
"GP commitment amount and type? (cash, fee waiver, or mixed)" -- Institutional LPs expect 1-5% GP commitment. Cash commitment is strongest signal. Fee waiver commitment (GP waives fees in lieu of cash) is scrutinized. Mixed is common. Track the split because LP due diligence will ask.
"How many closes planned? (Dates and early closer discounts)" -- Multi-close raises typically have first close (30-50% of target), second close (70-85%), and final close (100%). Early closer discounts of 5-15 bps are standard. Some funds use interim closes between major milestones.
"MFN provisions? (Scope, exclusions, cascade behavior, retroactive)" -- MFN scope: most favored (any LP sets the floor), commitment-tier-matched (only LPs at same commitment level), or custom. Common exclusions: GP affiliates, founding LPs, anchor LPs. Cascade behavior: automatic (granting a concession auto-ratchets all MFN holders) vs manual (requires LP to invoke). Retroactive: whether existing MFN holders adjust to newly granted terms.
"Are there any LPs already in the pipeline? (I can import from CSV)" -- If the user has existing LP data, import it via CSV to populate the ledger. Otherwise, add LPs individually through Workflow 2. CSV format: LP name, type, tier, status, commitment, fee rate, MFN clause (Y/N), contact info.
"What's the org expense cap and fee offset percentage?" -- Organizational expense cap limits fund formation costs charged to LPs (typical: $500K-$2M). Fee offset percentage determines how much of transaction/monitoring fees earned by the GP are credited against management fees (typical: 80-100% offset). Both are frequently negotiated in side letters.

Red Flags
Flag any of the following conditions immediately. Do not proceed past a red flag without disclosing it to the user and confirming the course of action.
Blended fee below GP breakeven: if blended management fee drops below the level needed to cover fund operating expenses + GP overhead, the fund economics don't work. Flag when blended fee * total commitments < annual operating budget. At a $350M fund with $3.5M annual operating cost, breakeven is ~1.00% blended fee. Any scenario that pushes blended below this level is a structural problem, not a negotiation outcome.
MFN cascade consuming >20% of fee concession value: if granting one LP a discount triggers cascading ratchets that cost 2x+ the direct concession, the GP is giving away too much. Recommend restructuring MFN provisions or excluding the LP from MFN scope. Quantify the ratio: cascade_cost / direct_concession_cost. If ratio > 2.0x, the concession is structurally inefficient.
Anchor LP getting >50bps below standard: concessions beyond 50bps create a deep MFN floor that constrains all future negotiations. Flag and suggest tiered rates or non-fee concessions (co-invest, advisory seat, LPAC membership, enhanced reporting, key person notification) instead. Every basis point of fee discount is permanent; non-fee concessions have bounded cost.
More than 30% of LPs with MFN clauses: creates a fragile fee structure where any single concession cascades widely. Recommend capping MFN eligibility to commitments above a threshold (e.g., top-quartile commitment size). Monitor the MFN holder count at every LP intake and flag when the 30% threshold is crossed.
Fee holiday exceeding 12 months: extended fee holidays materially reduce fund economics and set precedent. Flag if total fee holidays across all LPs exceed 6% of fund-year revenue. Calculate: sum(holiday_months * commitment * fee_rate / 12) for all LPs with holidays, and compare against total annual fee revenue. If >6%, the holidays are structural fee erosion, not incentive alignment.
GP commitment via fee waiver >50% of total GP commit: institutional LPs increasingly scrutinize GP commitment quality. Fee waiver commitments should be flagged and quantified as a % of total GP commit. If >50% fee waiver, disclose this in the IC memo and expect LP pushback during due diligence. Best practice: cash commitment >= 50% of total GP commitment.
Hard cap at risk: if signed + verbal exceeds hard cap, some LPs will need to be reduced. Flag when pipeline exceeds 90% of hard cap. Calculate: (signed_total + verbal_total) / hardCap. If >90%, begin triaging: which LPs can be reduced without relationship damage? Which LPs have not yet signed and can be held at current levels?
Close timeline slippage: if target close dates are approaching with insufficient committed capital, flag the gap and recommend acceleration tactics. For first close: if committed < 30% of target within 30 days of target date, the close is at risk. Acceleration tactics: (a) increase early closer discount, (b) accelerate anchor LP negotiations, (c) engage placement agent if not already, (d) consider extending close date (but disclose reputational cost of delay).
Retroactive MFN adjustment on already-funded LPs: if a late-closing LP negotiates a lower fee and MFN provisions are retroactive, the GP may owe refunds to early closers. Quantify the exposure: for each funded LP with MFN, calculate the fee overpayment from their funding date to the current date at the old rate vs the new MFN floor. This is cash out the door, not a future adjustment. Flag the dollar amount and confirm with fund counsel before proceeding with the late-closing LP's terms.
