Step 4 — Make/don't-make the threshold call (GATE)

Before drafting the submission, decide whether to submit at all. Weigh persuasion upside against discoverability and admission risk per charge. Framework — the Wells process

The Wells process is the staff's pre-recommendation persuasion window, governed by the SEC Enforcement Manual § 2.4 and Securities Act Release No. 5310 (the original Wells authorization). The sequence:

1. Wells notice — the staff advises the respondent that it intends to recommend an enforcement action and identifies the proposed charges (and increasingly the proposed remedies). This is discretionary, not mandatory, and is not a charging document.
2. Wells call — an informal call (or meeting) with the line staff and, where useful, the front office, to test the staff's theory and probe declination interest before committing anything to writing. Lower-risk than a written submission because it creates no discoverable instrument.
3. Wells submission — the written response. Voluntary. Once made, it becomes part of the administrative record, is discoverable, and can be used against the respondent as a party admission — the central strategic risk.
