M&A Strategic Positioning: The "Plan B" Framework

M&A is fundamentally about creating optionality. Even if your goal is to remain an independent, enduring company, you must cultivate "Plan Bs" to maintain the upper hand in negotiations and ensure survival if the path to independence narrows. This framework focuses on getting noticed by the 2-3 buyers for whom your company is most strategic by becoming a "friendly" competitive threat.

Phase 1: Identify and "Inflict Pain"

Most companies only have two to three potential buyers who will find their product truly strategic. Your goal is to make it impossible for these buyers to ignore you.

1. Identify the "Strategic Few": List the top 2-3 companies where your technology solves a critical gap in their roadmap or threatens their current market position.
2. Identify the Distribution/Product Gap: Determine if the potential buyer has a distribution advantage but a product lag, or vice versa.
3. Apply Strategic Pressure:
   • Be vocal and "loud" in the market about how your product solves specific, hard technical problems that the buyer is currently struggling with.
   • Win visible customers or community mindshare in the buyer's target territory.
   • Ensure your product is technically compatible with their ecosystem so integration appears "turnkey."

Phase 2: Maintain "Friendly" Openness

A common mistake is taking a "hostile" competitive stance that shuts doors. You must be aggressive in the market but friendly in the board room.

• Position as a Partner: Even while competing for the same use cases, position your company as a potential partner to the buyer's community or ecosystem.
• Keep the Door Open: Never prematurely shut down conversations with incumbents. You do not know if you can go the distance as an independent company; you need the optionality.
• Use the "Strategic Partnership" Lens: Use partnerships as a low-stakes way to build relationships with product leaders and GMs at the buying company before an M&A event is on the table.

Phase 3: Communication Tactics by Scenario

The language you use depends entirely on your remaining runway and leverage.

Scenario A: High Runway (Building Optionality)

• Goal: Build relationships without looking "for sale."
• Language: "We are focused on our independent path, but we'd love to explore a strategic partnership or knowledge sharing."
• Action: Meet with Corporate Development teams, but push them to introduce you to Product VPs or GMs who can act as internal sponsors.

Scenario B: Low Runway (The "Hail Mary")

• Goal: Efficiently find a home for the team and technology.
• Language: Be transparent. "We are evaluating strategic alternatives. We’ve built a great product but X, Y, and Z didn't pan out. We want to keep the team together. Are you interested in running a process?"
• Action: Cast a wider net (10-12 potential buyers) and provide a prepared "data room" focusing on team expertise and technical moats.

• Context: A startup has a superior technical solution for a specific niche (e.g., a "semantic layer") but lacks distribution.
• Input: The startup identifies a larger incumbent that has massive distribution but is "behind" in bringing that specific feature to market.
• Application: The startup becomes very vocal about solving the hard technical problems the incumbent's users are complaining about. They build their tool to be compatible with the incumbent's ecosystem.
• Output: The incumbent feels the "pain" of the product gap and acquires the startup to accelerate their roadmap.

Example 2: The Relationship Long-Game

• Context: A founder meets a high-level executive from a potential acquirer at an industry event or through a cold intro for a "partnership" chat.
• Input: They have 18 months of runway and are not looking to sell.
• Application: They establish a recurring touchpoint to share "market insights." They avoid the word "acquisition" entirely.
• Output: A year later, when the market shifts and the founder decides to sell, they have a direct line to a sponsor who already knows the value of the team, bypassing the cold-start problem.

Common Pitfalls

• Being "Too Clever": Using overly evasive language when you are actually out of cash. Buyers know "evaluating strategic alternatives" means you are for sale. If you're in a "Hail Mary" situation, transparency is more effective than coyness.
• Shutting Doors Prematurely: Acting too "tough" or competitive with a buyer early on. If you burn the bridge, they won't look at you when you actually need the exit.
• Ignoring Corp Dev: Founders often dislike meeting with Corporate Development because they aren't "product people." This is a mistake; it is Corp Dev's job to map the market. Use them to get to the Product VPs who can sponsor a deal.
• Waiting for the "Perfect" Moment: Starting M&A conversations only when you need the money. The best time to build the relationship is when you have the leverage of a "strong offense" and a long runway.
