# First-pass document review This produces a structured extract and a list of deviations. It is not advice and it does not conclude. ## Extract, with a clause reference for each Parties and their capacity · term, renewal and notice · payment terms · scope of the obligations each way · liability caps and exclusions · indemnities · termination rights, each side · governing law and jurisdiction · assignment and change of control · confidentiality and its survival period. ## Flag deviations, not preferences Compare against the standard position and report where it differs, what the difference is, and which way it cuts. "Liability cap is 6 months' fees against a standard 12" — not "the cap is too low". ## Flag separately Anything missing that the standard has, defined terms used but never defined, cross-references that point nowhere, and inconsistent dates or figures between clauses. ## Never Advise, conclude a clause is acceptable, characterise risk as low, or redraft. Every output is checked by the fee earner who signs it.
