When To Use

Inputs To Gather

• Fund financial statements and trial balance — audited or final draft, with book-to-tax adjustments identified
• Partnership agreement provisions — allocation methodology (targeted capital, layered, pro-rata), special allocations, carried interest waterfall, management fee offset terms
• Partner capital account schedules — beginning balance, contributions, distributions, ending balance (both GAAP and tax basis)
• Prior-year K-1s and carryforward items — Section 743(b) adjustments, suspended losses, capital loss carryforwards per partner
• PFIC annual information statements — for each portfolio company classified as a PFIC, including QEF election data where applicable

Workflow

1. Reconcile book-to-tax differences — Start from audited financials. Identify and schedule all M-1/M-3 adjustments: management fee capitalization, organizational/syndication cost amortization, mark-to-market vs. realization-based recognition, and carried interest timing differences.

2. Compute partnership-level taxable income by category — Break income into IRS reporting buckets: ordinary business income/loss, net rental income, interest, qualified/ordinary dividends, short-term and long-term capital gains, Section 1231 gains, Section 199A items, and foreign tax credits. Separately track UBTI-generating activities and ECI allocable to foreign partners.

3. Run allocation waterfall — Apply the partnership agreement's allocation methodology to each income/loss category. For targeted-capital or layered allocations, verify that regulatory allocations (minimum gain chargeback, qualified income offset, gross income allocation) are applied before residual allocations. Document any Section 704(c) remedial or traditional method adjustments for contributed property.

4. Generate individual K-1 drafts (Form 1065, Schedule K-1) — Populate each partner's K-1 with allocated amounts across all boxes (Boxes 1–20). Include footnotes for:

   • Section 743(b) basis adjustments (if Section 754 election in effect)
   • Partner's share of liabilities (recourse, qualified nonrecourse, other nonrecourse)

If mark-to-market election applies, report unrealized gain/loss.

6. Compile state filing summary — For each state with a filing obligation:

   • Identify whether the fund files a composite return on behalf of non-resident partners or issues state-specific K-1 equivalents

   • Note states requiring PTE (pass-through entity) tax elections and whether the fund has opted in

7. Assemble the LP tax package — Each partner's package should include:

   • Cover letter with key filing dates, extension deadlines, and contact information

• Accurate, fully populated Schedule K-1 with all applicable boxes and footnotes
• PFIC statements with QEF/mark-to-market data where elections apply
• State-by-state filing and withholding summary
• Investor-type-specific supplements (UBTI, ECI/FIRPTA, blocker summaries)
• Cover letter with filing deadlines and GP/administrator contact details
• Capital account reconciliation on tax basis

Quality Checks

• Verify that the sum of all partners' allocated amounts ties back to partnership-level totals for every income/loss category (no rounding leakage)
• Confirm Section 704(b) capital accounts reconcile to GAAP equity, and tax-basis capital accounts reconcile to 704(b) after book-tax adjustments
• Cross-check that partner liability shares sum to total fund liabilities and that at-risk/passive activity limitations are flagged where applicable
• Validate PFIC share counts and per-share amounts against the fund's investment records and portfolio company financials
• Ensure state withholding amounts match actual remittances; reconcile to state tax payment ledger
