3. Subordination Mechanics

• Junior Creditor barred from receiving payments except Permitted Junior Payments (if any)

• Cooperation in bankruptcy/insolvency proceedings
• Bankruptcy voting: consistent with Senior Creditor interests or abstain

6. Events of Default & Remedies

7. Bankruptcy & Insolvency
