Termination Clauses
Acceptable variants
- Termination for convenience by either party on 30-60 days' written notice
- Termination for material breach, with a 30-day cure period, available to either party
- Immediate termination for insolvency, bankruptcy, or assignment for the benefit of creditors
Unacceptable variants (propose the fallback redline below)
- Termination for convenience available only to the counterparty, not to the firm
- Termination for breach with no cure period, or a cure period under 10 days
- Automatic renewal ("evergreen") terms with no opt-out notice window, or a notice window
longer than 90 days before the renewal date
- Termination clauses that waive the firm's right to any accrued remedies upon termination

"Either party may terminate this agreement for convenience upon 30 days' written notice, or
immediately upon the other party's material breach that remains uncured 30 days after written
notice of the breach."
