Check whether, over a meaningful multi-year period, each dollar of retained (undistributed) earnings has been associated with at least a dollar of market value creation. Disciplined capital allocation: A company generates substantial free cash flow beyond its reinvestment needs. Over a decade, management has repurchased shares primarily during periods when the stock traded at a discount to intrinsic value, made few acquisitions and only at disciplined multiples with a clear price walk-away history, and the company's market value has grown by more than the cumulative retained earnings over the period — passing the $1 test and evidencing a management team allocating capital as an owner would.
Empire-building (failure case): A company's management consistently pursues acquisitions to grow revenue and headcount, frequently at high multiples and without a consistent price-discipline track record, while retained earnings accumulate without a corresponding rise in market value.
